Terms of Service

These Terms of Service ("Terms") govern access to and use of the LM Zello platform (the "Platform"), a relationship and service solution for clinics. By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
01 Acceptance of the Terms
By registering, accessing or using the Platform, the user and the clinic they represent declare that they have read, understood and accepted these Terms and the Privacy Policy. Whoever accepts the Terms on behalf of a clinic represents that they have the authority to bind it.
02 Description of the service
The Platform centralizes patient service and relationship management for clinics, including organization of contacts and leads, conversations, tasks, automations and, when enabled, integration with WhatsApp and artificial intelligence features. The service is provided "as a service" (SaaS) and may evolve over time.
03 Account, eligibility and responsibilities
- The user must provide accurate information and keep it up to date;
- Account credentials are personal and non-transferable; the user is responsible for activity on their account;
- The clinic is responsible for the data it enters and for the legal basis to process its patients' and contacts' data;
- The user must be legally capable and use the Platform for professional, non-consumer purposes.
04 Acceptable use
When using the Platform, you agree not to:
- Send spam, unsolicited messages or any content that violates applicable law;
- Violate the rights of third parties, including privacy and intellectual property rights;
- Attempt to gain unauthorized access, interfere with or compromise the security of the Platform;
- Use the Platform for illegal, fraudulent or abusive purposes, or in violation of Meta/WhatsApp policies.
05 WhatsApp and Meta integration
When the clinic connects a WhatsApp Business account through Meta's WhatsApp Business Platform (Cloud API), it agrees to comply with the applicable Meta and WhatsApp policies, including the WhatsApp Business Messaging Policy and the WhatsApp Business Terms of Service. The clinic is solely responsible for obtaining the consent of its contacts and for the content of messages sent through this channel.
Zello acts as a technology provider that facilitates this integration and does not control Meta's services. Availability, limits and rules of the WhatsApp Business Platform are defined by Meta and may change at any time.
06 Artificial intelligence features
The Platform may offer artificial intelligence features (such as summaries, suggestions and translations) within the limits configured by the clinic. AI outputs are assistive and may contain errors; the clinic is responsible for reviewing them before acting, especially in clinical or contractual contexts. AI does not replace professional judgment.
07 Plans, payment and renewal
- Access to paid features depends on an active subscription to the contracted plan;
- Charges are processed by our payment provider and renew automatically for the contracted period until cancellation;
- You may cancel at any time; cancellation takes effect at the end of the current paid period, with no refund of amounts already paid, except where required by law;
- Prices and plans may change, with prior notice through the Platform's channels.
08 Intellectual property
The Platform, its software, brand, visual identity and content are owned by Zello or its licensors and are protected by law. These Terms grant a limited, non-exclusive, non-transferable and revocable license to use the Platform during the subscription. Data and content entered by the clinic remain the clinic's property.
09 Data protection
The processing of personal data is governed by our Privacy Policy, which is an integral part of these Terms. With respect to patient and contact data, the clinic acts as controller and Zello as processor, under the terms of the LGPD. Privacy Policy
10 Third-party services
The Platform relies on third-party services (such as hosting, storage, payments, AI models and Meta/WhatsApp). Use of these services is subject to their respective terms, and Zello is not responsible for outages, changes or acts of third parties beyond its control.
11 Availability and warranty disclaimer
We strive to keep the Platform available and secure, but we do not guarantee uninterrupted or error-free operation. The Platform is provided "as is" and "as available", without warranties beyond those required by applicable law. Scheduled maintenance and updates may temporarily affect availability.
12 Limitation of liability
To the extent permitted by law, Zello shall not be liable for indirect, incidental or consequential damages, loss of profits, or loss of data resulting from use of or inability to use the Platform. Zello's aggregate liability is limited to the amounts paid by the clinic in the twelve months preceding the event giving rise to the claim.
13 Suspension and termination
We may suspend or terminate access in the event of a breach of these Terms, non-payment, or improper use that puts the security of the Platform or third parties at risk. The clinic may terminate at any time by closing its account. Upon termination, data handling follows the Privacy Policy, including the data deletion path.
14 Changes to the Terms
These Terms may be updated from time to time. Relevant changes will be communicated through the Platform's channels, and the "last updated" date at the top will be revised. Continued use after a change constitutes acceptance of the updated Terms.
15 Governing law and jurisdiction
These Terms are governed by the laws of the Federative Republic of Brazil. Any disputes will be resolved in the courts of the district of Aparecida de Goiânia - GO, unless a mandatory rule of law provides otherwise.
